By accessing or using https://www.tasklada.com (the "Platform"), you enter into a binding agreement with TaskLada. Your continued use of our services constitutes acceptance of these Terms and Conditions in their entirety.

How the Platform Works
Employers post detailed project requirements, and qualified freelancers submit competitive proposals. Each project may attract multiple bids, with freelancers permitted one submission per opportunity.
Employers review proposals, communicate directly with candidates, negotiate terms, and select the ideal professional. Work commences under mutually agreed conditions, with all deliverables submitted through the Platform for review.
Upon mutual confirmation that project requirements are met, tasks are marked complete and payment is released. A nominal service fee is applied to sustain platform operations and ensure continued excellence.
Account Responsibilities
Creating and Managing Your Account
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You must immediately notify TaskLada of any unauthorized access or security breaches.
Account Restrictions
Users must be at least 18 years old to create an account and use TaskLada independently. Users under 18 may access the Platform only with explicit parental or guardian consent and supervision.
Electronic Communications
By using TaskLada, you consent to receive electronic communications from us, including notices, agreements, disclosures, and promotional materials via email or through the Platform. You acknowledge that all electronic communications satisfy legal requirements for written correspondence.
Payment Terms and Escrow
How Payments Work
All project payments are held securely in escrow upon contract initiation. Funds are released to the freelancer only after the employer confirms satisfactory completion of deliverables.
Platform Fees
TaskLada deducts a service fee from payments before transferring funds to freelancers. This fee supports platform maintenance, security, and ongoing improvements.
Cancellations and Refunds
Either party may cancel a contract at any time, provided both parties submit feedback regarding the collaboration. Escrowed funds are returned to the employer within 7 to 10 business days following cancellation, pending review to prevent misuse.
If a freelancer has completed work and the employer cancels to avoid payment, the freelancer may file a dispute with our support team for resolution.
Acceptable Use Policy
Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to access TaskLada for lawful purposes only and in accordance with these Terms.
Prohibited Activities
You may not:
- Use the Platform for illegal, fraudulent, or harmful purposes
- Interfere with or disrupt Platform functionality or security
- Upload malicious software, viruses, or corrupted files
- Harass, threaten, defame, or violate the rights of others
- Scrape, harvest, or collect user data without authorization
- Misrepresent your identity, credentials, or qualifications
- Engage in spam, phishing, or pyramid schemes
- Violate intellectual property rights or applicable laws
TaskLada reserves the right to investigate violations, remove content, and terminate accounts without prior notice.
Intellectual Property Rights
Platform Content Ownership
All content on TaskLada, including text, graphics, logos, software, and design elements, is the exclusive property of TaskLada or its licensors and is protected by copyright, trademark, and other intellectual property laws.
User Submissions
By posting content on TaskLada (including profiles, proposals, feedback, and communications), you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, distribute, display, and modify your submissions in connection with operating and promoting the Platform.
You retain ownership of your original content but warrant that you possess all necessary rights to share it on TaskLada. You must not upload content that infringes on third-party intellectual property rights.
Restrictions
You may not modify, reverse engineer, copy, distribute, or create derivative works from Platform content without express written permission from TaskLada.
Communication Services
TaskLada may provide forums, messaging systems, and other communication tools (collectively, "Communication Services") for users to interact.
Proper Use of Communication Services
You agree to use these services responsibly and professionally. You must not post or transmit content that is unlawful, defamatory, obscene, harassing, or otherwise inappropriate.
Monitoring and Enforcement
While TaskLada is not obligated to monitor Communication Services, we reserve the right to review, edit, or remove content at our discretion. We may disclose information as required by law or to protect the rights and safety of our users and the Platform.
Disclaimer
TaskLada does not endorse user-generated content and disclaims liability for any harm arising from your use of Communication Services. Exercise caution when sharing personal information online.
Third-Party Services and Links
TaskLada may contain links to external websites and may integrate with third-party services. We are not responsible for the content, privacy practices, or terms of these external sites.
Third-Party Account Integration
You may connect your TaskLada account to third-party services (such as payment processors or social media platforms). By doing so, you consent to information sharing in accordance with those services' privacy policies. You may disconnect third-party accounts at any time through your account settings.
Disclaimers and Limitation of Liability
Service Provided "As Is"
TaskLada is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free, or secure access to the Platform.
No Warranties
To the maximum extent permitted by law, TaskLada disclaims all warranties regarding accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
TaskLada, its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.

Your Sole Remedy
If you are dissatisfied with TaskLada or these Terms, your sole remedy is to discontinue using the Platform.

TaskLada reserves the right to assume exclusive defense of any matter subject to indemnification, and you agree to cooperate fully.
Dispute Resolution
Informal Resolution

Binding Arbitration
Any dispute that cannot be resolved informally shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association or a similar service mutually agreed upon by both parties. Arbitration shall be conducted by a single neutral arbitrator in a mutually agreed location.
The arbitrator's decision is final and binding, and judgment may be entered in any court with jurisdiction.
Class Action Waiver
You agree to resolve disputes on an individual basis only. Class actions, class arbitrations, and representative or collective proceedings are expressly prohibited. You waive the right to participate in any class or collective action against TaskLada.
Governing Law and Jurisdiction
These Terms are governed by the laws of Nigeria, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in Nigeria for any legal proceedings arising from these Terms or your use of the Platform.
Termination
TaskLada reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, for violations of these Terms or for any other reason at our sole discretion.
Upon termination, all rights and licenses granted to you under these Terms immediately cease. Provisions related to intellectual property, indemnification, disclaimers, and dispute resolution survive termination.
Changes to These Terms
TaskLada may update these Terms periodically to reflect changes in our practices, legal requirements, or Platform features. We will notify you of significant changes by posting a notice on the Platform or sending an email to your registered address.
Your continued use of TaskLada following any updates constitutes acceptance of the revised Terms. We encourage you to review these Terms regularly to stay informed.
Entire Agreement
These Terms constitute the entire agreement between you and TaskLada regarding your use of the Platform and supersede all prior agreements, communications, and understandings, whether written or oral.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
